Your continued use of the Platform after such changes have been made will constitute your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for any updates or changes

The Platform is intended for users aged 18 and older. By accessing or using Khrimisay, you represent and warrant that you are at least 18 years old. Our Platform is not designed for, or intentionally targeted at, children under the age of 18. To access and use certain features of the Platform, you must register for an account. This process requires you to provide accurate, complete, and current information about yourself as prompted by our registration form. You agree to maintain and promptly update your account information to ensure its accuracy and completeness at all times.

By registering for an account, you acknowledge and agree to the following:

• Accuracy of Information: You agree to provide true, accurate, and complete information during the registration process and to keep this information up-to-date. Providing false information or impersonating another individual during registration may result in the termination of your account.
• Confidentiality of Credentials: You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You must not share your credentials with any third party. If you suspect that your account credentials have been compromised, you must notify us immediately at legal@khrimisay.com. 
• Responsibility for Account Activities: You are solely responsible for all activities that occur under your account. This includes any content posted, messages sent, or actions taken by anyone using your account credentials. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
• Security Measures: We implement reasonable security measures to protect your account information. However, we cannot guarantee absolute security, and we are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard your credentials.
• Compliance with Terms: By registering and using the Platform, you agree to comply with these Terms and all applicable laws and regulations. Any violation of these Terms may result in the suspension or termination of your account and access to the Platform.

We reserve the right to refuse registration, cancel an account, or restrict access to certain features of the Platform at our sole discretion. If we suspend or terminate your account, you are prohibited from creating another account without our express permission.

While Khrimisay strives to ensure the accuracy of information presented on the Platform, we do not warrant or guarantee the completeness, reliability, or timeliness of any information or content displayed. The content and materials on the Platform are provided for general information purposes only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. Any reliance upon the material on this Platform is at your own risk.

Khrimisay reserves the right to modify the content of the Platform at any time, but we have no obligation to update any information on the Platform. You agree that it is your responsibility to monitor changes to the Platform.

The use of the Platform is, and will always be, free of charge. You may access and use the Platform without incurring any fees. However, we may eventually offer optional subscription plans or premium features that users can choose to purchase. Should we introduce such subscription plans, we will provide you with at least 30 days' notice prior to the launch of these offerings. The notice will be provided via email or in-platform notification and will include detailed information about the subscription options, including the pricing, features they apply to, and the date on which they become available. Your continued use of the Platform will remain free, and subscribing to premium plans will be entirely optional. We reserve the right to make changes to these offerings and will comply with applicable laws and regulations regarding any future adjustments.

• Content Standards

All content must comply with our standards and content policies, including the "Speak Smoothly Rational" policy, which emphasizes free speech without causing harm. We reserve the right to remove content that violates these standards.

• User-Generated Content

You retain ownership of any content you post, upload, or otherwise make available on the Platform ("User-Generated Content"). By posting User-Generated Content on the Platform, you grant Khrimisay a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User-Generated Content in connection with the operation, promotion, and improvement of the Platform and its business. This license allows us to make your content available to other users of the Platform and to permit them to use, share, and comment on your content as permitted by the functionality of the Platform and these Terms.

You represent and warrant that:

1. You own or have the necessary rights and permissions to use and authorize Khrimisay to use all intellectual property rights in and to any User-Generated Content you post on the Platform.
2. The posting and use of your User-Generated Content on or through the Platform do not violate, misappropriate, or infringe on the rights of any third party, including intellectual property rights, privacy rights, and publicity rights.
3. You agree to pay for all royalties, fees, and any other monies owed by reason of User-Generated Content you post on or through the Platform.

• Platform Content

You may not modify, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Platform Content, except as follows:

1. Your Computer: Your computer may temporarily store copies of Platform Content in RAM incidental to your accessing and viewing that content.
2. Browser Caching: You may store files that are automatically cached by your web browser for display enhancement purposes.
3. Personal Use: You may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
4. Social Media Features: You may use features of the Platform that enable sharing on social media platforms in a manner that is consistent with these Terms and with the terms of use of the relevant social media platform.

You must not:

1. Modify copies of any Platform Content.
2. Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
3. Delete or alter any copyright, trademark, or other proprietary rights notices from copies of Platform Content.
4. Modify, alter, adapt, decompile, disassemble, create any derivative works, or reverse engineer any part of the source code of the Platform, nor may you attempt to do so or assist any third party in doing so.

If you wish to make any use of Platform Content other than that set out in this section, please address your request to legal@khrimisay.com. 

Unauthorized use of Platform Content may violate copyright, trademark, and other laws. If you breach any of the provisions of these Terms, your right to use the Platform will cease immediately, and you must, at our option, return or destroy any copies of Platform Content you have made.

All rights not expressly granted to you in these Terms are reserved by Khrimisay and its licensors. You acknowledge that you do not acquire any ownership rights by downloading or using any Platform Content. Any use of the Platform Content not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

The trademarks, logos, service marks, and trade names (collectively, the "Trademarks") displayed on the Platform are registered and unregistered Trademarks of Khrimisay LLC ("Khrimisay") and its licensors. You may not use, reproduce, modify, distribute, or display any of the Trademarks without the prior written consent of Khrimisay or the respective owner.

Nothing contained on the Platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Platform without the written permission of Khrimisay or such third-party owner. Your misuse of the Trademarks displayed on the Platform, or any other content on the Platform, except as provided in these Terms, is strictly prohibited.

Khrimisay LLC aggressively enforces its intellectual property rights to the fullest extent of the law. The name Khrimisay and the Khrimisay logo are trademarks of Khrimisay. All other trademarks, registered trademarks, product names, and company names or logos mentioned on the Platform are the property of their respective owners.

• Informal Resolution

In the event of a dispute arising from or relating to your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting us at legal@khrimisay.com. We will make every effort to respond promptly and work with you in good faith to resolve any concerns or issues you may have. Both you and Khrimisay agree to use reasonable efforts to negotiate and resolve the dispute without the need for formal legal proceedings.

• Arbitration

If a dispute cannot be resolved informally, it will be resolved through binding arbitration, except in the European Union (EU) where arbitration is not permitted. The arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA) and will take place in Delaware.

By agreeing to arbitration, both parties understand and agree that they are waiving the right to sue in court or have a jury trial for any disputes arising out of or related to these Terms or the use of the Platform.

The arbitration decision will be final and binding on both parties, and judgment on the arbitration award may be entered in any court having jurisdiction. The arbitration shall be conducted by a single arbitrator, selected in accordance with the AAA rules, who has experience in resolving disputes related to internet services and online platforms. The arbitrator shall have the authority to award any relief that would be available in a court under law or in equity.

• Class Action Waiver

You agree to resolve any disputes with Khrimisay on an individual basis. You agree that you will not bring any claim as a plaintiff or class member in any purported class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of the arbitration clause shall be null and void, but the remainder of these Terms shall continue to apply. This class action waiver and the agreement to arbitrate shall survive any termination of your relationship with Khrimisay.

• Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, about the operation of the Platform or the information, content, materials, or products included on the Platform. You expressly agree that your use of the Platform is at your sole risk.

• Limitation of Liability

To the maximum extent permitted by law, Khrimisay and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

1. Your use or inability to use the Platform; 
2. Any unauthorized access to or use of our servers and/or any personal information stored therein; and 
3. Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Platform by any third party.

• Indemnity

You agree to indemnify, defend, and hold harmless Khrimisay, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Platform;
• Your violation of these Terms or any applicable law or regulation; or
• Your violation of any rights of another person or entity.

Khrimisay reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Khrimisay in asserting any available defenses.

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you agree to the terms of the Privacy Policy.

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms or the Terms of Use. Upon termination, your right to use the Platform will cease immediately. If you wish to terminate your account, you may simply discontinue using the Platform. 

In the event that your account is terminated or suspended, you have the right to appeal this decision. To appeal, you must submit a written request outlining the reasons for your appeal and any supporting evidence. This request should be directed to appeals@khrimisay.com. We will review your appeal and notify you of our decision within 30 days from the date of receipt of your appeal request. Our decision on the appeal will be final and binding. Any regulatory action taken against you by us can also be appealed following the same procedure as outlined herein.

The Platform may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

You may link to the Platform, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists.

• You may link to our home page, provided it is done in a way that is fair and legal and does not harm our reputation.
• You must not establish a link in a way that suggests any form of association, approval, or endorsement on our part without our express written consent.
• You must not frame the content of our Platform on any other website.
• We reserve the right to withdraw linking permission without notice.

Khrimisay is based within the United States. Non-residents of the United States must not use the Platform for any purpose that would, if it occurred within the United States or any unincorporated territory of the United States, be unlawful under the federal law of the United States or under the laws of any state, federal district, territory, or municipality of the United States.

Users outside the United States acknowledge and agree that they access and use the Platform at their own risk and are responsible for compliance with local laws. Khrimisay makes no representation that the Platform or any content or materials on the Platform are appropriate or available for use outside the United States. Accessing the Platform from territories where its contents are illegal is prohibited.

• Governing Law: These Terms and any disputes related thereto will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal proceedings arising out of or relating to these Terms will be brought exclusively in the federal or state courts located in Delaware, and you consent to the jurisdiction of such courts.

• Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by any law or regulation of any government or by any court or arbitrator, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

• Waiver: No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

• Changes to the Platform: We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Platform (or any part thereof) with or without notice. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Platform.

• Notices: We may provide notices to you regarding these Terms, your use of the Platform, or other important matters by posting notices on the Platform, sending you an email, or by other means of communication we deem appropriate. Notices shall be deemed given and received when the communication is posted or sent.

• Force Majeure: We shall not be liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation.

• Feedback: We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Platform ("Feedback"). You acknowledge and agree that all Feedback will be the sole and exclusive property of the Platform, and you hereby assign all rights, title, and interest you may have in such Feedback to us. We will be entitled to use the Feedback without restriction.

• Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. We may assign or transfer these Terms at our sole discretion without restriction.

• Entire Agreement: These Terms, the Terms of Use, our Virtual Commodity Policy, and Privacy Policy constitute the entire agreement between you and us regarding the use of the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
